Sustainability Governance

Prysmian further strengthened its sustainability governance structure in 2025, establishing the new role of Chief Sustainability, R&D and Innovation Officer. By combining the leadership of sustainability and innovation, Prysmian aims to accelerate development of solutions supporting the energy transition, the circular economy, the digital transformation and the creation of sustainable value for stakeholders.

The Chief Sustainability, R&D & Innovation Officer, working with the Sustainability team, leads development of the environmental strategy and setting of the Group’s priorities, identifying and monitoring material impacts and opportunities. They play a core role in supporting the regions and business units in implementing actions and initiatives aimed at achieving the Group’s sustainability goals and coordinates the Local Sustainability Ambassadors’ Network, promoting an ESG culture and local and global initiatives.

The Chief Strategy Officer, working with the Chief Sustainability, R&D & Innovation Officer and the Chief HR & Organization Officer, leads development of the Group’s ESG Strategy, setting targets and establishing strategic priorities. The role also involves managing sustainability indices and stakeholder engagement activity and supervising preparation of the Sustainability Statement, in collaboration with the Group’s Administrative department. The Chief Strategy Officer also serves as the Secretary to the Board of Directors’ Sustainability Committee.

The Chief HR & Organization Officer leads development of the social strategy, proposing objectives and setting priorities by identifying and monitoring the Group’s material impacts and opportunities. They also support regions and business units in their implementation of initiatives aimed at achieving social goals.

Administrative and Supervisory departments, led by chief reporting officers, coordinate the collection of non-financial quantitative data, prepare the Integrated Report and contribute to ongoing development of the internal control system for non-financial reporting, ensuring data accuracy and quality and that the Sustainability Statement complies with European and domestic legislation.

The Communication team develops communication campaigns focused on ESG topics and works with the Investor Relations team on the organization of stakeholder engagement events, strengthening the visibility and transparency of the Group’s activities.

The Local Sustainability Ambassadors' Network promotes a culture of sustainability, in addition to local and global ESG initiatives and actions at regional level, acting as a link between central strategies and local activities.

The Innovation and Sustainability Committee, consisting of three non-executive and independent directors, oversees innovation and sustainability-related issues related to the Company's business activities and its interactions with all its stakeholders. The Committee develops guidelines to be submitted to the Board of Directors, assesses the non-financial impacts of the Group’s innovation strategy, provides opinions on annual and multi-year sustainability targets, monitors the Group's ranking in leading sustainability indices and provides opinions on specific initiatives and sustainability reporting.

The Board of Directors, with the support of the Sustainability Committee, approves the ESG strategy and the most significant ESG goals.

Prysmian applies an evolutionary risk management system that promotes proactive management of risks and opportunities via a structured and systematic tool designed to support key corporate decision-making processes.

The Group Chief Risk & Compliance Officer (CR&CO), appointed to oversee the ERM process, is responsible for ensuring that the main risks affecting Prysmian and its subsidiaries are promptly identified, assessed, managed and monitored over time by risk owners.

At periodic meetings with the Control and Risks Committee, consisting of non-executive members of the Board of Directors, the CR&CO updates the Committee on the outcomes of analyses, risk assessments and risk mitigation actions.

At regular meetings with the Sustainability Committee, the Chief Strategy Officer and the Chief Sustainability Officer update the Committee on the outcomes of assessments and actions carried out, as well as on any ongoing developments. In the case of topics of mutual interest, joint meetings may be scheduled between the Control and Risks Committee and the Sustainability Committee.
